General Terms and Conditions
1. INTRODUCTION
These Terms and Conditions govern your use of our services, including Consultancy within the Aluminum Industry and Anodizing Aluminum Components at our Lab Facility.
By engaging with our services, you agree to comply with and be bound by these Terms and Conditions.

3. CONSULTANCY SERVICES
3.1. Separate Contracts
Consultancy engagements will as baseline be governed by a separate contract detailing specific terms and conditions related to the project.
The terms of the separate contract will take precedence over any conflicting provisions in these general terms and conditions.
3.2. Consultancy services not governed by separate contract
AluSME offers customers flexibility to get advice and assistance on hourly basis. There are certain terms for your use of these services:
Hourly consultancy is invoiced per 15 minutes work segments calculated from hourly base price of DKK 1.500,00 + 25% VAT.
The term “work” consists of: Research, preparation, meetings, phone calls, e-mail, transportation time, calculations etc. as a direct result of the specific inquiry.
Consultancy and work which can be done within two hours can be solved within 48 hours on weekdays. (Subject to longer turnaround in case of other duties or vacation, in which case you will receive estimated turnaround)
Consultancy and meetings can be done both online via videoconference and at your/our physical location.
For on-site consultancy/meetings requiring more than 3 hours of travel from Struer, we require minimum 14 days’ notice in advance.
Payment of fees does not include the Consultant’s outlays or extraordinary expenses. For the purposes of this agreement, outlays mean inter alia:
Expenses in connection with necessary and documented transportation, travel, accommodation, and meals.
Expenses in connection with materials, tools, software, sub-suppliers, certification etc. Subject to prior approval by the Client.
Cancellations of meetings, workshops etc. can take place until 24 hours before the start of our meeting if the meeting is scheduled for less than three hours.
If the meeting is scheduled for more than three hours, cancellation of the appointment needs minimum one week’s notice.
4. ANODIZING SERVICES
4.1. Service Description
AluSME ApS provides anodizing services for aluminum components using our lab facility.
4.2. Pricing and Payment
Pricing for anodizing services will be provided upon request and confirmed in a written quotation.
Payment terms will be specified in the invoice provided to the Client. Payment is due within 8 days of the invoice date unless otherwise agreed in writing.
4.3. Quality and Liability
AluSME ApS will use its best efforts to ensure high-quality anodizing services.
AluSME ApS is not liable for any damage to components or other consequential damages resulting from the anodizing process, except in cases of gross negligence or willful misconduct.
5. CONFIDENTIALITY
5.1. Information Protection
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of services.
Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.
6. INTELLECTUAL PROPERTIES
6.1. Ownership
All intellectual property developed during consultancy projects or as a result of anodizing services shall be owned by AluSME ApS unless otherwise agreed in a separate contract.
6.2. Usage Rights
Clients are granted a non-exclusive, non-transferable license to use any deliverables provided by AluSME ApS for their internal business purposes.
7. TERMINATION
7.1. Termination by Client
Clients may terminate the services with 30 days' written notice. Any services rendered up to the termination date will be invoiced accordingly.
7.2. Termination by AluSME ApS
AluSME ApS reserves the right to terminate services if the Client breaches any terms of these general terms and conditions or any separate contract, with immediate effect upon written notice.
8. LIMITATION OF LIABILITY
8.1. Extent of Liability
AluSME ApS’s liability under these terms and conditions is limited to the amount paid by the Client for the services in question.
AluSME ApS is not liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided.
9. GOVERING LAW AND DISPUTE RESOLUTION
9.1. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of Denmark.
9.2. Dispute Resolution
Any disputes arising out of or relating to these terms and conditions shall be resolved through amicable negotiations. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of Denmark.
10. AMENDMENTS
10.1. Changes to Terms and Conditions
AluSME ApS reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes in writing. Continued use of services after such amendments will constitute acceptance of the revised terms and conditions.
