General Terms and Conditions
1. INTRODUCTION
These Terms and Conditions govern your use of our services, including Consultancy within the Aluminum Industry and Anodizing Aluminum Components at our Lab Facility.
By engaging with our services, you agree to comply with and be bound by these Terms and Conditions.
2. GENERAL PROVISIONS

2.2. Scope of Services
AluSME ApS offers consultancy services primarily within the aluminum industry, including but not limited to:
Process Development
Custom Color Formulation
Process Optimization
Environmental Initiatives
Specifications
Chemical Analysis
Additionally, we provide anodizing services for aluminum components at our lab facility.
3. CONSULTANCY SERVICES
3.1. Separate Contracts
Consultancy engagements may be governed by a separate agreement detailing specific terms related to the project. In case of any conflicts, the terms of the separate agreement take precedence over these General Terms and Conditions.
3.2. Consultancy services without separate contract
For clients requiring ad-hoc consultancy services, the following terms apply:
Billing: Consultancy services are billed at an hourly rate of DKK 1,500.00 + VAT, with time tracked in 15-minute increments. The applicable VAT rate depends on the Client’s location.
Definition of Work: Includes research, preparation, meetings, phone calls, emails, travel time, calculations, and other direct activities related to the client’s inquiry.
Response Time: Work that can be completed within two hours will be delivered within 48 business hours, subject to availability.
On-Site Consultancy: For meetings requiring more than 3 hours of travel from Struer, a minimum of 14 days’ notice is required.
Expenses: The client covers outlays such as travel, accommodation, materials, and software costs, subject to prior approval.
Cancellations:
Meetings under 3 hours: Can be canceled up to 24 hours in advance.
Meetings over 3 hours: Require at least one week's notice.
3.3 Client Contributions
The Client must provide necessary access to personnel, documents, software, and facilities required for AluSME to effectively provide consultancy services.
3.4 Reporting & Documentation
For long-term engagements, periodic status meetings will be held. AluSME will prepare meeting minutes and provide ongoing progress reports as required.
4. ANODIZING SERVICES
4.1. Service Description
AluSME ApS provides anodizing services for aluminum components using our lab facility.
4.2. Pricing and Payment
Pricing for anodizing services will be provided upon request and confirmed in a written quotation.
Payment is due within 8 days of the invoice date unless otherwise agreed in writing.
4.3. Quality and Liability
AluSME ApS will use its best efforts to ensure high-quality anodizing services.
AluSME ApS is not liable for any damage to components or other consequential damages resulting from the anodizing process, except in cases of gross negligence or willful misconduct.
5. CONFIDENTIALITY
5.1. Information Protection
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of services.
Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.
6. INTELLECTUAL PROPERTIES
6.1. Ownership
All intellectual property developed during consultancy projects or as a result of anodizing services shall be owned by AluSME ApS unless otherwise agreed in a separate contract.
6.2. Usage Rights
Clients are granted a non-exclusive, non-transferable license to use any deliverables provided by AluSME ApS for their internal business purposes.
7. TERMINATION
7.1. Termination by Client
Clients may terminate the services with 30 days' written notice. Any services rendered up to the termination date will be invoiced accordingly.
7.2. Termination by AluSME ApS
AluSME ApS reserves the right to terminate services if the Client breaches any terms of these general terms and conditions or any separate contract, with immediate effect upon written notice.
8. LIMITATION OF LIABILITY
8.1. Extent of Liability
AluSME ApS’s liability under these terms and conditions is limited to the amount paid by the Client for the services in question.
AluSME ApS is not liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided.
9. GOVERING LAW AND DISPUTE RESOLUTION
9.1. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of Denmark.
9.2. Dispute Resolution
Any disputes arising out of or relating to these terms and conditions shall be resolved through amicable negotiations. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of Denmark.
10. AMENDMENTS
10.1. Changes to Terms and Conditions
AluSME ApS reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes in writing. Continued use of services after such amendments will constitute acceptance of the revised terms and conditions.
