General Terms and Conditions

1. INTRODUCTION These Terms and Conditions govern your use of AluSME’s consultancy services within the aluminum industry and anodizing services at our lab facility. By engaging our services, you agree to comply with these Terms and Conditions.

2. GENERAL PROVISIONS 2.1. Scope of Services Our services include process development, custom color formulation, process optimization, environmental initiatives, specifications, chemical analysis, and anodizing services for aluminum components at our lab facility.

3. CONSULTANCY SERVICES 3.1. Separate Contracts Consultancy engagements may be governed by a separate agreement detailing project-specific terms. In case of conflict, the separate agreement takes precedence. 3.2. Services Without a Separate Contract Consultancy is billed hourly, tracked in 15-minute increments. Work includes research, preparation, meetings, calls, emails, travel, calculations, and other direct activities. Work that can be completed within two hours will be delivered within 48 business hours, subject to availability. On-site meetings requiring more than three hours of travel from Struer require at least 14 days’ notice. The Client covers approved travel, accommodation, materials, and software costs. Meetings under three hours may be canceled up to 24 hours in advance; meetings over three hours require one week’s notice. 3.3. Client Contributions The Client must provide access to personnel, documents, software, and facilities required for AluSME to provide the services. 3.4. Reporting and Documentation For long-term engagements, periodic status meetings, minutes, and progress reports will be provided as required.

4. ANODIZING SERVICES AluSME ApS provides anodizing services for aluminum components using our lab facility. Pricing is provided upon request and confirmed in writing. Payment is due within 8 days of the invoice date unless otherwise agreed. AluSME uses its best efforts to provide high-quality anodizing services. We are not liable for damage to components or consequential damages, except in cases of gross negligence or willful misconduct.

5. CONFIDENTIALITY Both parties agree to maintain the confidentiality of proprietary or confidential information disclosed during the provision of services. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

6. INTELLECTUAL PROPERTY All intellectual property developed during consultancy projects or as a result of anodizing services shall be owned by AluSME ApS unless otherwise agreed in a separate contract. Clients receive a non-exclusive, non-transferable license to use deliverables for internal business purposes.

7. TERMINATION Clients may terminate services with 30 days’ written notice. Services rendered up to the termination date will be invoiced accordingly. AluSME ApS may terminate services immediately upon written notice if the Client breaches these General Terms and Conditions or a separate contract.

8. LIMITATION OF LIABILITY AluSME ApS’s liability under these terms is limited to the amount paid by the Client for the services in question. AluSME ApS is not liable for indirect, incidental, or consequential damages arising from the services provided.

9. GOVERNING LAW AND DISPUTE RESOLUTION These Terms and Conditions are governed by the laws of Denmark. Disputes shall first be resolved through amicable negotiations. If no resolution can be reached, disputes are subject to the exclusive jurisdiction of the courts of Denmark.

10. AMENDMENTS AluSME ApS reserves the right to amend these Terms and Conditions at any time. Clients will be notified of changes in writing. Continued use of the services after amendments constitutes acceptance of the revised terms.

Scope of Services AluSME ApS offers consultancy services primarily within the aluminum industry, including but not limited to: Process Development, Custom Color Formulation, Process Optimization, Environmental Initiatives, Specifications, and Chemical Analysis. Additionally, we provide anodizing services for aluminum components at our lab facility. 3. CONSULTANCY SERVICES 3.1. Separate Contracts Consultancy engagements may be governed by a separate agreement detailing project-specific terms. Consultancy Services Without a Separate Contract Consultancy services are billed at an hourly rate, with time tracked in 15-minute increments. The applicable VAT rate depends on the Client’s location. Work includes research, preparation, meetings, phone calls, emails, travel time, calculations, and other direct activities related to the Client’s inquiry. Work that can be completed within two hours will be delivered within 48 business hours, subject to availability. For on-site meetings requiring more than three hours of travel from Struer, a minimum of 14 days’ notice is required. The Client covers approved outlays such as travel, accommodation, materials, and software costs. Meetings under three hours may be canceled up to 24 hours in advance. Meetings over three hours require at least one week’s notice. 3.3. Client Contributions The Client must provide necessary access to personnel, documents, software, and facilities required for AluSME to effectively provide consultancy services. 3.4. Reporting and Documentation For long-term engagements, periodic status meetings will be held. AluSME will prepare meeting minutes and provide ongoing progress reports as required. 4. ANODIZING SERVICES 4.1. Service Description AluSME ApS provides anodizing services for aluminum components using our lab facility. 4.2. Pricing and Payment Pricing will be provided upon request and confirmed in a written quotation. Payment is due within 8 days of the invoice date unless otherwise agreed in writing. 4.3. Quality and Liability AluSME ApS will use its best efforts to ensure high-quality anodizing services. AluSME ApS is not liable for damage to components or other consequential damages resulting from the anodizing process, except in cases of gross negligence or willful misconduct. 5. CONFIDENTIALITY Both parties agree to maintain the confidentiality of proprietary or confidential information disclosed during the provision of services.
